Have recently replaced my modem with a Sitecom PCI V.92.
Windows Installer now pops up a window approx. every
minute and appears to do nothing, other than disconnect me
from the internet. Has anyone got a fix to this?

Reboot to Safe Mode
Open Device Manager
Remove ALL Modem devices
Remove ALL modem-related entries in the Sounds & Multimedia branch
Remove ALL entries in the 'Other Devices' branch
Remove ALL error-flagged devices
Reboot to Normal Mode - Windows will reinstall appropriate drivers

See if that helps

thanks for the suggestion, but it has not fixed the
problem.
Any more suggestions ? can anybody elso please help ?

You may have a virus/spyware hijack

download the Stinger from here and run it to make sure that A-V-disabling
viruses are not present on your PC
http://download.nai.com/products/mcafee-avert/stinger.exe

- update your virus scanner and run a full system scan of all files.

Reboot to Safe Mode and run CWShredder - to remove variants of the
CoolWebSearch hijacker.
